Preservation starts with clear arrangements
Funds set aside from everyday operations need clear ownership, documented funding and agreed access. An own-funds holding company can help organise these arrangements for a business or private owner.
Here, “wallet company” means a structure for accumulating and preserving its own funds. VM.Capital helps assess whether it is needed, choose a suitable form and arrange ongoing support.

Corporate reserves
Business funds set aside for future obligations, acquisitions or unexpected expenditure. Define funding sources, ownership, permitted placements and conditions for use.
Private savings
A dedicated structure for an owner’s funds, with clear governance and continuity arrangements. First compare it with personal ownership: a company should serve a purpose after taxes and costs are considered.
Ownership and funding arrangements follow the objective. This model does not involve electronic wallets, payment services, collecting third-party customer funds or managing their money.
Where funds come from and who owns them
Owner contributions
Equity funding is documented through corporate records and transfer evidence. Returning funds is not equivalent to withdrawing from a personal account: the relevant procedures apply.
Loans and repayments
A loan records the company’s obligation to its lender. Document maturity, interest and repayment separately. An account credit is not automatically business revenue.
Income and asset disposals
Dividends, interest and disposal proceeds require the relevant entitlement and supporting records. A company cannot receive another party’s revenue merely as a convenient account.
Once properly transferred, the funds belong to the company. The owner holds shares, an interest or another documented right, rather than unrestricted personal access to all company money. Funding and payments should match the accounts and actual arrangements.
Start with a general question
Begin with the purpose: reserves, ownership arrangements or continuity. A general outline is enough for an initial discussion.
Choose the framework: standard incorporation or Tamchy
A standard Kyrgyz company
Select a form, such as an LLC, for the owners and proposed activities. Assess banking, taxation, governance and annual running costs. The business label does not create a special status.
A suitable SFIT structure
Tamchy provides for private investment vehicles and family offices. Assess suitability for own assets, permitted activities, registration and status, together with any authorisation requirements.
Legal form, activity and status are distinct. A family office describes arrangements for family affairs and assets; it does not itself establish a particular corporate form or an exemption from permissions. “Wallet company” is likewise not a separate legal form.
What to confirm for a Tamchy structure
Activities and permissions
Own-asset holding, placements and management functions. Professional dealing or services to others require separate assessment; own-account activity is not automatically unregulated.
Presence and decisions
Address, workplace, leadership and decision-making location. Confirm staffing and governance requirements for the model rather than assuming a universal remote-company arrangement.
Reporting and costs
Corporate updates, financial records, audit conditions, registration and recurring fees. Compare these costs with the preservation objective.
SFIT relief has a defined scope: an incoming payment is not automatically tax-exempt. Assess external taxes and social obligations separately. HTP is not presented as a regime for simply accumulating funds.
Banking, placement and access
Bank transparency
Corporate and ultimate-owner records, sources of funds and the purpose of transactions. Reviews continue after account opening; banks make their own servicing and payment decisions.
Placement policy
Agree currencies, maturities, liquidity needs and permitted instruments, such as bank balances or deposits where available. Consider bank and currency risk and early-access restrictions.
Access controls
Who receives statements, signs instructions and approves major transactions. Distinguish owner, director and representative authority and establish fallback arrangements.
A preservation objective is not a promise of returns or protection from every claim. Guarantees, security, company obligations, insolvency and creditor rights require separate assessment.
Taxes and continuity: consider both sides
Company and owner
Review taxation of funding, income and payments to the owner. Consider tax residence, controlled foreign company rules, ownership disclosures and obligations in other countries.
Continuity of management
Align corporate rules, succession matters and arrangements if a director becomes unavailable. Inheriting ownership and gaining bank-account authority are separate processes.
Confidentiality depends on access controls and lawful data handling. It does not remove beneficial-ownership disclosures to banks and competent authorities.
