Advisers and business owners discuss a company acquisition at a conference table while reviewing transaction documents

Mergers and Acquisitions (M&A)

Buy, sell or combine businesses with a clear transaction structure. VM.Capital helps review liabilities, agree terms and coordinate the transfer of ownership — from preparation to post-transaction support

Acquisition · Sale · Business Combination

Understand what you are acquiring and on which terms

The price is one part of the decision. You also need to understand which rights, assets and liabilities pass to the buyer, which contracts remain effective and what is required to keep the business operating.

VM.Capital supports transactions involving companies, equity interests and assets in Kyrgyzstan, including projects with international participation. We connect due diligence findings with contract terms, coordinate legal, tax and financial workstreams, and help carry out the agreed steps for transferring the business.

Support aligned with your side of the transaction

You are acquiring a business

Help define the acquisition perimeter, review rights and liabilities, identify material risks and address them in the price, payment arrangements and contractual protections.

The objective is a controlled handover and a clear understanding of the obligations being accepted.

You are selling a business

Help prepare documents, define the sale perimeter, organise information disclosure and agree payment, liability and the owner’s exit arrangements.

The objective is a prepared transaction with clear payment and ownership transfer terms.

Business objectives a transaction can address

Company or equity acquisition

Enter an established business, acquire control or take an equity position with agreed shareholder rights.

Business sale or project exit

Transfer a company, part of an ownership interest or selected assets while addressing the parties’ obligations.

Combination and reorganisation

Merge companies, consolidate a group or change ownership and governance arrangements.

Six transaction workstreams

The scope follows the stage and complexity of the transaction. Engage the team for the full process or a specific workstream.

Due diligence findings should shape the transaction terms

A disputed liability or dependency on a key contract needs to be assessed for its impact on the acquisition. We help discuss possible responses: remediation before transfer, a price adjustment, separate payment conditions or specific seller obligations.

Each mechanism is agreed in light of the circumstances and applicable law. Findings become a set of decisions and conditions the parties can negotiate.

  • What must happen before ownership transfer and payment.
  • Which risks remain and who accepts them.
  • How satisfaction of conditions is evidenced.
  • How the parties respond to a breach of their agreement.

Discuss the structure before fixing key terms

Tell us what you plan to acquire, sell or combine. We will clarify your side of the transaction, its current stage and the questions to resolve before committing.

How the transaction progresses

01

Objectives and scope

Define the target, parties, timing and constraints. Agree the engagement scope and information exchange.

02

Review and structure

Examine material facts, compare transaction models and identify matters for negotiation.

03

Terms and preparation

Agree documents, approvals, settlement and actions required before transfer.

04

Transfer and follow-through

Coordinate closing and agreed post-transaction actions, including governance and document handover.

One coordinated sequence of actions

Owners need to see what has been agreed, what is still under review and how actions depend on one another. Reporting and deliverables are defined in the engagement scope.

Transaction plan

Stages, responsibilities, dependencies and decisions required from the parties.

Risk position

Review findings, proposed protections and their treatment in the documentation.

Transfer readiness

Checks against the agreed documents and conditions, with the parties’ ongoing obligations identified.

Transactions with international participation

For international structures, we consider the links between company ownership, movement of funds and practical business operations. We help align documentation, settlement and governance transfer requirements across project participants.

  • Authority to transact and shareholder rights.
  • Bank requirements and settlement documentation.
  • Tax matters and necessary local approvals.
  • Specialist advisers in other countries within the agreed scope.

Before you begin

When should we involve advisers?

Before signing documents that create material obligations, such as exclusivity, deposits, deadlines, pricing or restrictions on withdrawal. If negotiations are already underway, start with a review of existing documents and outstanding issues.

Can we acquire assets instead of the company?

Options are compared against the objective. An asset purchase requires consideration of contracts, rights, employees and permits. A share acquisition requires review of the company and its liabilities. The choice depends on the facts and implementation requirements.

Can we commission only due diligence or agreements?

Yes. We agree the specific stage and responsibilities, while identifying questions that other participants need to resolve so the output supports the overall transaction.

How is confidentiality handled?

Before sensitive information is shared, agree its permitted use, recipients and document access arrangements. The first enquiry can be a short description without commercially sensitive details.

How are fees and timelines determined?

They depend on the structure, document volume, number of jurisdictions, review depth and required approvals. Following an initial discussion, we propose the scope, stages and commercial terms.
