Shared objectives. Clear authority. Accountable delivery.
When group companies plan spending, procurement and staffing independently, owners can lose sight of the whole. A management company brings selected leadership functions together, aligning decisions, responsibilities and performance.
VM.Capital helps design this model in Kyrgyzstan: define the center’s remit, select a registration framework and document its relationship with group companies. Actual work and decision-making authority form the foundation.
Explore All Business SolutionsFunctions a management company can bring together
Strategy and development
Business-unit objectives, expansion plans, project priorities and follow-through on decisions. Owners retain an agreed set of reserved matters.
Budgets and performance
Budget preparation, actual-versus-plan reviews, variance analysis and spending recommendations. Define who approves limits and owns delivery.
Procurement and suppliers
Common supplier standards, procurement policies and major-contract approvals. Distinguish procurement oversight from purchasing goods.
People and leadership
Workforce planning, leadership recruitment, responsibilities and performance review. Document arrangements with the actual employer.
Coordination across businesses
Consistent task-setting, approvals and information sharing. Local leaders know when they can act independently and when approval is required.
Performance oversight
Management reporting, action tracking and responses to exceptions. Reporting should support decisions and action.
Give each company a distinct role
Management company
Provides management services within documented authority and receives an agreed fee for work actually performed. Share ownership is not inherently required.
Holding company
Owns company interests, exercises shareholder rights and receives ownership income. Any additional management function is documented separately.
ExploreInternational service center
Delivers support processes such as data processing, customer support, administration or technical tasks. Its decision-making remit differs from that of a management center.
ExploreManaging third-party investment assets is a separate matter. Corporate management authority does not replace financial permissions. Review the activities, clients and relevant regulator’s requirements before launch.
Start with the functions you want to centralise
An outline of your group and the issues that repeatedly need your attention is enough to start. We can help define the center’s remit and next step.
Where to establish the management center
Standard Kyrgyz incorporation
A suitable business entity, such as an LLC, may be used. Assess ownership, governance and service arrangements. A legal form does not itself create a special tax exemption.
A company in Tamchy SFIT
SFIT provides for corporate structures and regional headquarters. For management and consulting functions, assess the specific activity, registration, status and any additional permissions required.
“Management company” describes a business function. Before choosing Tamchy, confirm that its applicable rules permit the proposed services; a general description of corporate structures is insufficient. HTP is not a general-purpose regime for group management.
What to assess for a Tamchy structure
Activities and permissions
Services, recipients and actual operations. Company registration and permission for regulated activities are assessed separately.
Presence and management
Address, workplace, team and where decisions are made. Confirm requirements for the form and activity; records should match actual operations.
Obligations and costs
Financial and corporate reporting, audit requirements, fees and staffing costs. Compare the total operating cost with standard incorporation before deciding.
SFIT tax relief has a defined scope. Activities outside the territory and social obligations require separate assessment. Relief does not automatically remove taxes for group companies, foreign recipients or owners.
How to put the model into practice
01 · Team and authority
Define leaders, specialists, responsibilities and signing authority. Align corporate resolutions, powers of attorney and internal rules. A service agreement does not automatically transfer every power of a company director.
02 · Contracts and fees
Document services, recipients, outputs, reporting intervals and payment terms. Substantiate fees and shared-cost allocation. Avoid charging several entities twice for the same function.
03 · Evidence of delivery
Retain plans, reports, calculations, minutes and approval records. Evidence should show what was delivered to each entity and why that entity pays for it.
Payments, accounting and taxes: one coherent arrangement
Before payments begin, align the contracts with the company’s tax regime and the rules in recipients’ countries. Review revenue taxation, place-of-supply rules for indirect taxes, potential cross-border withholding and treaty conditions.
For related parties, assess pricing support and expense-deductibility requirements. Separately review payroll and social contributions, taxable presence abroad, accounting and reporting. Banks need a clear payment purpose and service documentation; transaction decisions remain with the bank.
What VM.Capital helps organise
Management design
Review the current structure, map functions and authority, and compare registration options. Identify what to centralise and what to retain within operating companies.
Documentation and launch
Agreed registration steps, corporate documentation and contracts. Help connect the management model with staffing, fees and bank documentation.
Ongoing support
Accounting, tax and corporate support within the agreed scope. Help update contracts, authority and reporting as the structure evolves.
Start with a single function or a limited set of companies. Define responsibilities and test the operating model before extending the center’s remit.
